General Terms and Conditions (GTC)

General Terms and Conditions of M&A Media Services GmbH ("MAMS" / mandaco)
Status: April 2026

1. Scope of Application

(1) These General Terms and Conditions ("GTC") apply to all contracts between M&A Media Services GmbH, Habenschadenstraße 16, 82049 Pullach (hereinafter "MAMS") and its customers/participants (hereinafter "Participant" or "Customer") concerning:

  • participation in in-person and online events,

  • the purchase of digital content and subscriptions (e.g. M&A REVIEW, LEBENSWERK), and

  • the use of services and content via the websites manda.co and ma-review.de (collectively "Services").

(2) Deviating, conflicting or supplementary terms and conditions of the customer shall only become part of the contract if and to the extent that MAMS has expressly agreed to their validity in text form.

2. Contractual Requirements

(1) The respective contract is concluded with M&A Media Services GmbH, Habenschadenstr. 16, 82049 Pullach, Commercial Register: Local Court Munich, HRB 240097.

(2) The scope of services of each product is described in the corresponding information description.

(3) Registrations for in-person and online events may only be submitted via the registration procedure provided for the respective event.

(4) To order and use digital subscriptions, the subscriber requires a valid email address and internet connection. Connection fees for internet access as well as any additional costs arising from mobile contracts are borne by the customer and are not part of the digital subscription offers.

(5) The provision of the registration process for an event and the presentation of subscriptions in the online shop do not constitute a binding offer by MAMS, but merely a non-binding invitation to submit an offer to MAMS.

3. Conclusion of Contract

(1) By registering/placing an order, the participant accepts these GTC as binding. Deviating terms of the participant shall only apply if expressly agreed to by MAMS in writing.

(2) By clicking the button [Buy/order with obligation to pay], a binding order is placed for the product listed on the respective order page. The contract is concluded when MAMS accepts the order by sending an order confirmation via email. An automated confirmation of receipt does not constitute acceptance. The contract is only concluded upon confirmation by MAMS.

(3) If MAMS provides recommendations for accommodation and/or travel arrangements through third parties, these are non-binding recommendations and not part of MAMS’ services. Reservations must be made independently by participants.

4. Scope of Services

(1) The type and scope of contractual services are defined in the respective service description (in particular event description, product page or offer).

(2) MAMS is entitled to adjust services if this is necessary for objective reasons and reasonable for the customer, in particular regarding speakers, content, schedules, formats or technical conditions.

5. Obligations for In-Person / Online Events

(1) Participants must comply with all requirements set by MAMS, including regulations (e.g. hygiene or safety rules).

(2) In case of violations, MAMS may exclude participants without refund.

(3) In case of non-attendance or late cancellation, the full participation fee remains payable. If a replacement participant is found, a refund minus incurred costs may be granted.

(4) Cancellations must be made in writing (post or email).

(5) Participation rights may be transferred to a substitute participant. Rebookings are treated as cancellations.

(6) Virtual events are conducted using specified systems, communicated in advance.

(7) Participants must not upload malicious software during virtual events.

(8) Resale of tickets is prohibited.

(9) MAMS may withdraw from the contract if:
a) payment is not made on time, or
b) obligations are violated despite warning.

6. Changes or Cancellation of Events

(1) MAMS may change event details (location, agenda, timing, speakers) for good cause.

(2) In case of significant changes, participants may cancel within one week and receive a refund.

(3) In case of cancellation by MAMS, fees will be refunded within 14 days. Travel or other costs are not reimbursed.

(4) MAMS may cancel events due to force majeure, lack of participants, or venue unavailability. In cases of force majeure, no refund is granted for partially completed events.

7. Term and Termination of Subscriptions

(1) Subscriptions have a minimum term of 12 months. They can be terminated with 6 weeks’ notice at the end of the minimum term. Thereafter, they continue indefinitely and can be terminated with one month’s notice.

(2) Termination must be made in writing or text form (e.g. email to info@ma-review.com).

8. Prices and Payment

(1) Event prices are net prices excluding VAT.

(2) Subscription prices include VAT. Price changes will be announced in advance.

(3) Payments are due immediately upon receipt of invoice. Payment is usually processed via Stripe Payments Europe Ltd.

(4) Participation is possible even if invoicing occurs shortly before or during the event.

9. Liability

(1) MAMS is not liable for damages except in cases of injury to life, body, health, or essential contractual obligations, or in cases of intent or gross negligence. Liability for simple negligence is limited to EUR 25,000 per incident.

(2) This also applies to representatives and agents.

(3) Limitations do not apply in cases of fraud or mandatory liability.

(4) Participants are liable for damages they cause.

(5) Further claims are excluded; product liability law remains unaffected.

10. Rights of Use

(1) MAMS may record events for documentation and publication purposes. Participants may avoid recordings where possible.

(2) Participants grant MAMS a non-exclusive, transferable, worldwide and irrevocable right to use contributions and results created during events.

(3) Event materials are protected by copyright. Participants receive only a personal, non-transferable right of use.

11. Data Protection

(1) MAMS processes personal data in accordance with applicable data protection laws.

(2) MAMS uses processors in compliance with legal requirements.

12. Right of Withdrawal for Consumers

(1) Consumers have a statutory right of withdrawal.

(2) The withdrawal period is 14 days from contract conclusion.

(3) The right does not apply to certain goods/services (e.g. customized goods, sealed media, newspapers except subscriptions).

(4) Withdrawal must be declared clearly (e.g. via email to hello@manda.co).

(5) Payments will be refunded in accordance with legal requirements

13. Dispute Resolution

(1) The European Commission provides a platform for online dispute resolution: http://ec.europa.eu/consumers/odr

(2) MAMS is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

14. Final Provisions

(1) The GTC valid at the time of contract conclusion shall apply.

(2) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.

(3) Place of jurisdiction is Munich, where legally permissible.

(4) If any provision is invalid, the validity of the remaining provisions remains unaffected. The invalid provision shall be replaced by a valid one closest to the economic purpose.
